Twisted Stallions members and friends, I wanted to tell you a little about the club and to bring you up to speed on some of our upcoming events! First of all, we meet every 3rd. sunday at LEE Motor Co. Wilson n.c., in the old cycle shop building,this is the home of the club..!our club dues are $25.00 a year and you get a club t-shirt and sticker and goodie bag when join. Member attendance is greatly encouraged. We do a lot planning and voting at our monthly meetings. We are also a family oriented club that has grown tremendously over the four years. We are now more than 60 members strong. We place a lot of emphasis on supporting our community and local charities. And we take great pride in the support we receive from our sponsors as well as our members. After all, without these, we would cease to exist. Our events schedule is listed below along with our club officers. I have also included our website, which is where you will find our most up to date information, along with our email address. We encourage all our members to utilize both, as it is the fastest way to get abreast of club happenings!! I have also listed some websites of interest as well as other area clubs that have shown great support to us. If at anytime you have any questions, comments, or concerns please feel free to contact any of the club officers or send an email. I also wanted to make you aware that as a member of the Twisted Stallions, you are given the opportunity to join Mustang Club of America for only $30.00 per year. For more detailed information you may go to their website at www.mustang.org. This opportunity is not a requirement to be a member only a benefit. If you are interested, please contact us as soon as possible so that we can get your benefits started!! Also, if you are aware of any events that may be going on in or around your area that you would like for the Stallions to participate or possibly attend as a club, please contact one of the event coordinators with pertinent information. One of the great things about being a member of the Twisted Stallions is the support we give to each other!! So, welcome to the club—we look forward to some great times!!

By-Laws for the Twisted Stallions Mustang Club
Mission Statement:
The mission of the Twisted Stallions Mustang Club is to provide an environment that is conducive to the enjoyment, promotion, interchange of technical, historical and other information, encouragement of maintenance, restoration, and preservation for and among members and other persons who own or are interested in all years of Ford Mustangs, including specialty cars distinguished for their fine design, high engineering standards and superior workmanship, including but not limited to Saleen, Steeda, and Roush vehicles, to promote social interaction and fellowship among its members, and promote goodwill and a positive image of the TSMC to the surrounding community.
Article I
Name, Seal and Offices
Name
The name of this organization is; Twisted Stallions Mustang Club
Seal
The Seal of the Club shall be a cobra snake with the terminator body style car in the middle.
Center of Operations
The principal office, and center of operations, of the club shall be in the county of Wilson, state of North Carolina, United States. The club may also have offices at such other places as the Officers may from time to time appoint for the purposes the club may require. MCA charter club for Wilson, Rocky Mount, Goldsboro, Greenville areas.
Article II
Members and Meetings of Members
Membership
All members of the club shall consist of the person signing the Membership Form and
Agreement whereby the signor agrees to abide by all rules, regulations and By-Laws officially adopted and observed by the Club, and such other person or persons as the members may elect, by a vote of majority of all of the members in the club, at any meeting of the members. Each membership is entitled to one vote and will be listed on the current club member roster. New members will serve on a year to year basis. All members will follow the website forum regulations or risk losing their membership.
Rights of Members
The right of a member to vote and all his right, title, and interest in or to the club shall cease on the termination of his membership. No member shall be entitled to share in the distribution of the corporate assets upon the dissolution of the club.
Resignation of Members
Any member may resign from the club at his or her own will. Resignation should be executed by delivering a written resignation to the President or Secretary of the club.
Regular Meetings
The purpose of the meeting is to execute the general business of the club and transact such other business as may be necessary. The regular meeting of the members of the club shall be held at a location decided upon, by vote, by the majority of members of the club and will be held monthly on the third Sunday of each month, if not a legal holiday.
Notice of meetings
Notice of the time, place and purpose or purposes of the monthly meetings shall be served, either personally, by mail, by email, or post on the official club web site, not less than fourteen days before the meeting, upon each person who appears upon the books of the club as a member. If mailed, such notice shall be directed to the member at his\her address as it appears on the records of the club, unless he shall have filed with the Secretary of the Club a written request that notices intended for him be mailed to some other address, in which case it shall be mailed to the address designated in such request.
Special meetings
Special meetings of the members, other than those regulated by these by-laws, may be called at any time by the president or vice-president or by upon receipt of the written request of one-third of the members of the club by the president or vice-president.

Quorum
At any meeting of members of the club the presence of one-third of the members in person or by proxy shall be necessary to constitute a quorum for all purposes except as otherwise by law, and the act of a majority of the members present at any meeting at which there is a quorum shall be the act in full representation of the full membership except as may be otherwise specifically provided by statute or by these by-laws. In the absence of a quorum, or when a quorum is present, a meeting may be adjourned from time to time by vote of a majority of the members present in person or by proxy, without notice other than by announcement at the meeting and without further notice to any absent member. At any adjourned meeting at which a quorum shall be present, any business may be transacted which might have been transacted at the meeting as originally notified.
Voting
At every meeting of members each member shall be entitled to vote in person, or by proxy duly appointed by instrument in writing which is subscribed by such member of the club. Each paid membership of the club shall be entitled to one vote. The vote for officers and, upon the demand of any member, the vote upon any question before the meeting, shall be by ballot. All elections shall be had and all questions decided by a majority vote of the persons present in person or by proxy. Each member in good standing is entitled to one vote.
Wavier of notice
Whenever under the provisions of any law or under the provisions of the certificate of incorporation or by-laws of this club, the club officers, club members or any committee thereof is authorized to take any action after notice to the members of the club or after the lapse of a prescribed period of time, such action may be taken without notice and without the lapse of any period of time, if at any time before or after such action be completed, such requirements be waived in writing by the person or persons entitled to such notice or entitled to participate in the action to be taken or by his attorney thereunto authorized.
Removal of members, officers, or officers
Any member or officer may be removed from membership or from office by the affirmative vote of two-thirds of the full membership, registered either in person or by proxy, at any regular or special meeting called for that purpose, for conduct detrimental to the interests of the club, for lack of sympathy with its objectives, or for refusal to render reasonable assistance in carrying out its purposes. Any such member or officer proposed to be removed shall be entitled to at least five days notice in writing by mail of the meeting at which such removal is to be voted upon and shall be entitled to appear before and be heard at such meeting. Probationary members may be removed for conduct detrimental to the interests of the club, for lack of sympathy with its objectives, or for refusal to render reasonable assistance in carrying out its purposes by a unanimous vote of the officers without a refund of their TSMC dues.
Compensation and Incentives
Members shall not receive any stated salary for their services as such. The club shall have power in its discretion and upon voted approval by a majority of members to contract for and to pay to members rendering unusual or special services to the club special compensation appropriate to the value of such services. Special services are to be governed as outlined in Article III Section 9 of these by-laws.
Article III
Club Officers and Officials
Number
The officers of the club shall be the President, Vice-President, Secretary, and Treasurer. Any two offices, except those of president and vice president, may be held by the same person.
Election
The business and property of the club shall be managed and controlled by the club officers, who shall be elected annually in September, by the members to hold office until the next annual election and qualification of their respective successors, except as hereinafter otherwise provided for filling vacancies. The officers are required to be members in good standing of the club and shall be chosen by ballot at such meeting by a majority of the votes of the members, voting either in person or by proxy.
Term of Office
Each officer and chair term of office will be for one (1) calendar year, a calendar year being January 1 to December 31.
Resignation
Any officer may resign at any time by giving written notice of such resignation to the
President and Secretary of the club. If the resigning officer is the President or the Secretary, the resignation shall be presented to the most senior officer of the club.
Vacancies
Any vacancy in the officers occurring during the year may be filled for the unexpired portion of the term by the officers then serving, although less than a quorum, or by affirmative vote of the majority of members of the club. Any officer so elected shall hold office until the next succeeding annual meeting of the members of the club or until the election and qualification of his successor.
Annual meetings
Immediately after each annual election, the newly elected officers may meet forthwith at the principal office of the club for the purpose of organization, the election of officers, and the transaction of other business. If a quorum of the officers be then present, no prior notice of such meeting shall be required to be given. The place and time of such first meeting may, however, be fixed by written consent of all the officers.
Special meetings
Special meetings of the officers may be called by the president or vice president and must be called by either of them on the written request of a one-third majority of club members.

Notice of all officers' meetings, except as herein otherwise provided, shall be served, either personally, by mail, by email, or post on the official club web site at least fourteen days before the meeting, but such notice may be waived by any officer. Regular meetings of the officers may be held without notice at such time and place as determined by the board. Any business may be transacted at any officers meeting. At any meeting at which every officer shall be present, even though without any notice or waiver thereof, any business may be transacted.
Chairman
At all meetings of the officers, the senior officer present at the meeting shall preside.
Quorum
At all meetings of the officers, a majority of the officers shall be necessary and sufficient to constitute a quorum for the transaction of business. If at any meeting there is less than a quorum present, a majority of those present may adjourn the meeting from time to time without further notice to any absent officer, and may take such other and further action as is provided in Article II, section 4 of these by-laws.
Contracts and services
The officers of the club may be interested directly or indirectly in any contract relating to or incidental to the operations conducted by the club, and may make contracts, enter transactions, or otherwise act for and on behalf of the club as directed by these by-laws or by a majority vote of club members. They may also be acting as individuals, or as officers of trusts, or as agents for other persons or clubs, or may be interested in the same matters as shareholders, directors, or otherwise. However, any contract, transaction, or act on behalf of the club in a matter in which the officers or officers are personally interested as shareholders, directors, or otherwise shall be at arm's length and not be in violation of the proscriptions in the certificate of incorporation against the club's use or application of its funds for private benefit, provided further that no contract, transaction, or act shall be taken on behalf of the club if such contract, transaction, or act is a prohibited transaction or would result in the denial of the tax exemption under Section 503 or Section 507 of the internal revenue code and its regulations as they now exist or as they may hereafter be amended. In no event, however, shall any person or other entity dealing with the officers or officers be obligated to inquire into the authority of the officers and officers to enter into and consummate any contract, transaction, or other actions.
Compensation

Powers
All the club powers, except such as are otherwise provided for in these by-laws and in the laws of the State of North Carolina, shall be and are hereby vested in and shall be exercised by the officers. The officers may by general resolution delegate to committees of their own number such powers as they may see fit. At no time whatsoever may a member who is not an elected officer or club official, or duly appointed by an officer or club official, present himself as being a representative of and speaking for or on behalf of the club in regards to official club business, such as entering contracts, service agreements or sponsorship agreements. Violation of this is grounds for termination of membership and all membership rights.

Vacancies
In case any office of the club becomes vacant for any reason, including but not limited to death, resignation, retirement, disqualification, or legal infractions, the majority of the officers then in office, although less than a quorum, may elect an officer to fill such vacancy, and the officer so elected shall hold office and serve until the first meeting of the officers after the annual meeting of members next succeeding and until the election and qualification of his successor.
President
The president shall preside at all meetings of members and of the officers. Works with officers to provide guidance and ensures duties are fulfilled. Works with sponsors to ensure expectations are being met. Actively seeks sponsorship for the various levels based on the agreed upon sponsorship guidelines document. Ensures that there is someone who can facilitate each meeting and is a moderator on the website forums. Actively participates in events and website forums. Communicates with club members via the Newsletter, meetings, events, and is available to take calls. Work with Website Officer to keep website up to date. May assign other club duties as required and may appoint special club positions. He shall have, shall do and perform such other duties as may be required to him by the club.
Vice-President
At the request of the president or in the event of his absence or disability, the vice president shall perform the duties and possess and exercise the powers of the president; and to the extent authorized by law the vice president shall have such other powers as the officers may determine, and shall perform such other duties as may be assigned to him by the officers. Willing to help the president with duties and responsibilities. Works with our club members to resolve any membership issues. Attends meetings and actively participates in events and a moderator on the website forums. Must be available to club members via phone and/or email. Answer emails or other correspondence related to membership inquiries.
Secretary
The secretary shall have charge of such books, documents, and papers as the officers may determine and shall have the custody of the corporate seal. He shall attend and keep the minutes of all the meetings of the officers and members of the club. He shall keep a record, containing the names, alphabetically arranged, of all persons who are members of the club, showing their places of residence, and such book shall be open for inspection as prescribed by law. He may sign with the president or vice president, in the name and on behalf of the club, any contracts or agreements authorized by the officers, and when so authorized or ordered by the officers, he may affix the seal of the club. He shall, in general, perform all the duties incident to the office of secretary, subject to the control of the officers, and shall do and perform such other duties as may be assigned to him by the officers. Attends meetings and actively participates in events and a moderator on the website forums.

Treasurer
The treasurer shall have the custody of all funds, property, and securities of the club, subject to such regulations as may be imposed by the officers. He may be required to give bond for the faithful performance of his duties, in such sum and with such sureties as the officers may require. When necessary or proper he may endorse on behalf of the club for collection checks, notes, and other obligations, and shall deposit the same to the credit of the club at such bank or banks or depository institution as the officers may designate. He shall sign all receipts and vouchers and, together with such other officer of officers, if any, as shall be designated by the officers, he shall sign all checks of the club and all bills of exchange and promissory notes issued by the club, except in cases where the signing and execution thereof shall be expressly designated by the officers or by these by-laws to some other officer or agent of the club. He shall enter regularly on the books of the club to be kept by him for the purpose full and accurate account of all monies and obligations received and pad or incurred by him for or on account of the club, and he shall exhibit such books at all reasonable times to any officer or member on application at the offices of the club. He shall, in general, perform all the duties incident to the office of treasurer, subject to the control of the officers. Handle all monies going in and out of the club. Check the club e-mail for membership documents. Provide financial reports as needed. Maintain the club roster. Attends meetings and actively participates in events and a moderator on the website forums.
Newsletter Publisher
Provide the members with a list of upcoming and present activities (i.e. Shows, cruise-ins, auto fair, track events, etc…). Work with our sponsors to ensure any deliverables such as car displays are organized. Attend as many events as possible. Send club wide e-mail and update the forums to communicate our events schedule. Contact various people as needed to coordinate events. Work with Website Officer to ensure website is up to date and acts as a moderator.
Charity and/or Sponsor Liason
Appointed by the President to facilitate sponsorship activities to include solicitation of
sponsors or charities, communication and ensuring the club meets sponsor or charity
obligations. Act as main sponsor or charity point of contact with the club.
Web Coordinator
Ensures performance and operation of the club website with hosting company. Moderator on the website forums. Maintains moderators list. Researches and recommends website changes to the officers. Maintains links and communication with other websites. Actively participates in events and website forums.
MCA Regional Director
If possible attend the MCA meetings. Work with club members to understand issues and ensure they are conveyed to the MCA. Submit the Club Roster to the MCA once a year. Must have an active MCA number.
Article IV
Voting upon shares of other clubs
By Officers
Unless otherwise ordered by the officers, the president shall have full power and authority on behalf of the club to vote either in person or by proxy at any meeting of shareholders of any club in which this club may hold shares, and at any such meeting may possess and exercise all of the rights and powers incident to the ownership of such shares which, as the owner thereof, this club might have possessed and exercised if present. The officers may make, alter, amend, and repeal the by-laws of the club by affirmative vote of a majority of the board, provided, however, that the action is proposed at a regular or special meeting of the board and adopted at a subsequent regular meeting, except as otherwise provided by law. All by-laws made by the officers may be altered, amended, or repealed by the members.
By Members
The by-laws may be altered, amended, or repealed at any meeting of members of the club by a majority vote of all the members, represented either in person or by proxy, provided that the proposed action is inserted in the notice of such meeting.
Article V
Club Activities
Official (Club Sponsored or Endorsed) Activities
Official TSMC sponsored activities will constitute those activities that are open and available to all members and have been fully communicated to the membership by the accepted formats to include e-mail, forum posting and U.S. Mail. Any use of club assets including club finances, club name, club resources, club sponsors or club charities will constitute an official activity. Any official activity needs to be voted on by the membership at the next meeting. If the time period will not allow a membership vote at the next meeting, the officers, with a full positive vote of all officers, may solicit votes by e-mail or by phone proxy. A majority of all members asked to vote (i.e. all members sent the e-mail or called) is required to pass the vote. TSMC endorsed activities include participation in activities that do not require the use of club assets with the exception of utilizing the club website or forum to relay information. The Officers or Events Chairman may select events consistent with the clubs function and history. Members may post activities consistent with TSMC goals and function on the forums to relay information to other members. Moderator(s) have the right to remove any postings not consistent with the TSMC bylaws, forum rules or mission statement.
Exempt Activities
Notwithstanding any other provision of these by-laws, no member, officer, or representative of this club, including but not limited to parties in relation to contract or lawful agreements entered by the club, shall take any action or carry on any activity by or on behalf of the club not permitted to be taken or carried on by an organization exempt under Section 501(c) (3) of the Internal Revenue Code and its
regulations as they now exist or as they may hereafter be amended, or by an organization contributions to which are deductible under Section 170 (c) (2) of such code and regulations as they now exist or as they may hereafter be amended.
Forum Rules and Policies of Twisted Stallions Mustang Club
The following is the Code of Conduct to be used while participating on the Twisted Stallions Mustang Club (TSMC) website forums page. Posting messages on this board is not a right based on membership, but is a privilege that can and will be revoked if the Code of Conduct is not abided by. The club and its website is to be considered a family friendly entity where members can enjoy the Mustang hobby and all of its different venues. There are members of the TSMC that moderate this forum. We encourage all members to participate in the forum to share knowledge and promote a positive experience when communicating with others. It is the moderator’s obligation to police the forum against those that cannot communicate in an adult manor. The moderator is expected to monitor and maintain the message board to ensure that the TSMC’s reputation as a family organization and its ideals (to include sponsors) are upheld and not adversely impacted by the opinions, views, and/or actions of those who participate in the message forums.
The Twisted Stallions Mustang Club is made up of members owning Ford Mustang’s of various years and models. The strength of this forum resides in our ability to appreciate each others cars without the need to foster rivalry between members based on the vehicle driven. Private Messages can be used to communicate between two individuals. Private Messages can only be viewed by the sender, the recipient, and the administrator of the site. Should any member find a Private Message to be vulgar and offensive, the administrator has the right to view the PM and bring it to the President of the TSMC to be considered as an infraction of the Code of Conduct. The administrator will at no time divulge the content of any PM other than to the presiding officer of the TSMC.
In order to post within the TSMC forum, we require that you abide by the follow rules of conduct:
• Do not post any profanity. Profanity includes foul language and indecent photography and
pornography.
• The use of avatars (images associated to your specific id) must be in good taste and not
include foul language, pornography, or indecent gestures.
• Those wishing to post will not entice verbal abuse on to other members. Verbal abuse will be
defined as a post that is found to be offensive or provoking of another member.
• Disparaging comments and debasing are also not allowed. This includes personal attacks on
ones reputation whether it be a person, group, or business.
• This is NOT a stage for the debate of sponsorship, leadership, or any action taken by a
moderator.
• Any comment that the moderator finds to NOT be in the best interest of the forum, club,
and/or its sponsors will be deleted.
• Participants will be respectful of the opinions of others, whether or not they agree with said
opinion.
• Participants will conduct themselves as adults and not participate in petty bickering.
• Posts will not foster rivalry between members based on the type of car they drive.
• Creating a user id to post in the TSMC forum automatically binds any individual to adhere to
aforementioned Code of Conduct as they exist now or as they may be changed in the future.
If participants violate any of these guidelines, the moderator will notify the individual(s) of the conduct infraction, which is to be understood as a warning. If a second warning is needed, the moderator reserves the right to ban the participant(s) from posting on this website. If the offender is NOT a member of the TSMC, only one infraction is needed for consideration to be banned from the site.
Any participant that feels an infraction to the Code of Conduct has occurred can report the alleged incident to any of the moderators for investigation via email or Private Message. The Federal Trade Commission's Children's Online Privacy Protection Act of 1998 (COPPA) requires that Web Sites are to obtain parental consent before collecting, using, or disclosing personal information from children under 13. If you are below 13 then you can NOT use this forum. Do NOT register if you are below the age of 13.
By registering to use this forum you meet the above criteria and agree to abide by all of the above rules and policies.
